1. General provisions
- These Terms apply to all contracts for the sale, rental and delivery of goods, equipment and parts and for the provision of services (diagnostics, service work, repairs, inspections, modernisation, installation) concluded by ChillerSerwis with customers who are businesses or institutions ("Customer"). They do not apply to consumers.
- These Terms form an integral part of every contract. They are made available before the contract is concluded, in particular on this website and together with the offer. In an ongoing business relationship, acceptance of the Terms at the first order applies to all subsequent orders.
- The Customer's own terms and conditions do not bind ChillerSerwis unless expressly accepted in writing. In case of conflict these Terms prevail. Signing documents provided by the Customer does not mean acceptance of the Customer's terms.
- Information on the website, price lists, catalogues and brochures does not constitute an offer within the meaning of the Polish Civil Code. Obvious mistakes and calculation errors are not binding.
2. Enquiries, offers and orders
- The Customer may send enquiries in any form. In reply the Customer receives an offer stating in particular the scope, the estimated number of working hours, the hourly rate and the estimated date.
- An offer may only be accepted without reservations. Changes bind only if confirmed by both parties in writing or by e-mail.
- The contract is concluded when the offer is accepted in any form (letter, e-mail, text message, messenger) or when the Customer starts performing it, in particular by paying, collecting goods, making the equipment available or allowing the work to start.
- The number of working hours stated in an offer is an estimate. Work is settled according to the actual time spent. The price in an offer is the minimum remuneration and is not reduced if less work is needed.
- Additional work may be ordered orally and becomes binding once confirmed on a durable medium (e-mail, text message, service report). A person representing the Customer on site or in contact with our technicians is deemed authorised to order additional work.
- ChillerSerwis may refuse or suspend an order if the Customer has overdue payments or if its financial situation gives reason for concern.
3. Performance
- An order may be cancelled only with the consent of ChillerSerwis. The Customer then covers the costs already incurred or, if none have been incurred, a cancellation fee of 30% of the order value.
- ChillerSerwis may request an advance payment before starting work. Late payment automatically postpones the performance date.
- ChillerSerwis may use subcontractors, in particular the companies of its group.
- Replacing a part does not mean restoring the full efficiency of the equipment. Diagnostics is an obligation of due diligence, not of result. Repairing a reported fault does not mean that the whole unit is fully functional. ChillerSerwis is not liable for hidden defects, earlier repairs by third parties, wear, operating errors or elements outside the agreed scope.
4. Service report and acceptance
- A service report is drawn up on site and signed by the Customer without delay. Comments may only be entered when signing; later comments have no legal effect.
- If the Customer refuses or fails to sign, a one-sided report has the same effect and is the basis for invoicing.
- A report delivered later (within 5 working days) is deemed accepted without comments unless the Customer raises objections within 3 working days of delivery. Objections do not suspend payment and cannot challenge work actually performed or the number of hours.
- ChillerSerwis documents work with photographs, video and electronic records. Ratings and comments given by the Customer in a signed report may be published on our websites, with or without the company name as chosen by the Customer.
5. Delivery, collection and storage
- Delivery and collection dates are estimates. The risk passes to the Customer when goods are made available for collection or handed over to the carrier, also if the Customer delays collection.
- Unloading is the Customer's responsibility and must be completed within 2 hours. Discrepancies must be reported by e-mail within 24 hours of handover.
- Equipment and parts delivered by the Customer for service, repair, diagnostics or valuation are stored free of charge for up to 14 calendar days after the Customer is informed that the work is finished. After that a storage fee of 50 PLN net per day per cubic metre applies and, after 30 days, ChillerSerwis may dispose of the items at the Customer's cost.
- If a service visit cannot be carried out for reasons attributable to the Customer (no access, unit not available, no power), travel costs and working hours from arrival on site are charged.
6. Prices and payment
- Prices are net, plus VAT where applicable. Payment is made by bank transfer within 14 days of the invoice date unless agreed otherwise. Invoices do not require the recipient's signature.
- Standard labour rates: 500 PLN net per hour for one or two technicians; 750 PLN net per hour for a team of three; each further technician plus 200 PLN net per hour. The size of the team is decided by ChillerSerwis. Travel is charged separately as stated in the offer.
- Set-off, compensation and withholding of payments are excluded, also in the case of complaints or warranty claims.
- Late payment interest is charged according to the Polish Act of 8 March 2013 on counteracting excessive delays in commercial transactions. The Customer bears the costs of debt collection, including legal fees.
- Any delay entitles ChillerSerwis to suspend performance towards the Customer and related entities and to retain equipment and items in its possession until payment.
7. Operation of equipment
- The Customer is responsible for operating the equipment in accordance with the law and HVAC/R standards, including periodic leak checks required by the F-gas regulations, and bears the consequences of failing to do so.
- Relocating equipment requires prior written consent of ChillerSerwis; otherwise the warranty is lost.
8. Retention of title
Goods remain the property of ChillerSerwis until the price and interest have been paid in full.
9. Warranty
- The warranty covers only complete equipment supplied under the contract. It does not cover diagnostic services, individual parts, components or consumables supplied on their own. It applies in Poland and only to material defects, unless agreed otherwise in writing.
- The warranty period is 12 months from delivery or collection.
- Conditions: paid commissioning by ChillerSerwis or a company of its group; service at least every 6 months; a maintained warranty card; operation according to the manual; unchanged installation; no interference by third parties; no overdue payments.
- Excluded: mechanical damage, external factors (fire, flooding, power surges, phase loss), corrosion and environmental conditions, normal wear, broken seals, third-party interference, incorrect selection of equipment and design errors of the installation.
- Leaks are excluded as a phenomenon. Keeping the refrigerant circuit tight is not a warranty service; refrigerant, oil, leak tests and repairs of sealing elements are paid by the Customer.
- Defects must be reported within 5 working days of discovery, in writing or by e-mail, with the invoice number, the type and serial number and a description of the symptoms. Verification starts within 14 working days; if the warranty conditions were not met, the diagnostics is paid by the Customer. Accepted defects are removed within 30 days, which may be extended where parts must be ordered.
10. Liability
- Statutory warranty for defects (rękojmia) is excluded. Liability is limited to intentional fault, to the value of the goods sold or the service performed, and to actual losses.
- Liability for production downtime, lost profits, commercial losses, indirect and consequential damage, third-party claims and loss of data is excluded.
- The Customer is responsible for the selection of equipment and its suitability for the intended use, unless the selection was made by ChillerSerwis on the basis of complete data provided by the Customer.
11. Rental of cooling equipment
- Rented equipment remains the property of the lessor; subletting, interference and relocation without consent are not allowed.
- Faults and damage must be reported within 24 hours. The Customer bears the full risk of loss and damage from handover until return and insures the equipment with the lessor as beneficiary.
- Late return: twice the daily rental rate for each day of delay, at least 500 PLN net per day. Waiting time of the delivery vehicle: 500 PLN net per started hour.
12. Force majeure
Neither party is liable for non-performance caused by force majeure. ChillerSerwis may withdraw from the contract within 3 months of such an event.
13. Cooperation of the Customer
The Customer provides access to the equipment, utilities (power, water, lifting equipment where needed) and safe working conditions. If these are not provided, work is suspended and travel, working hours, reserved time and waiting time are charged.
14. Withdrawal
The Customer may not withdraw from the contract except where mandatory law or these Terms provide otherwise. ChillerSerwis may withdraw within 120 days, in particular if payment is more than 14 days late, if safe working conditions are not provided or if the Customer provided false data. Withdrawal does not release the Customer from paying for work performed and costs incurred.
15. Confidentiality
The parties keep confidential all commercial and technical information received in connection with the contract, during the contract and for 20 years after its performance.
16. Final provisions
- Correspondence sent to the last known address and not collected is deemed delivered. Changes to these Terms bind the Customer once he has been informed of them.
- Polish law applies. The Polish language version prevails. Disputes are settled by the court having jurisdiction over the registered office of ChillerSerwis.
- Annex 1: Privacy information (GDPR), see our privacy policy.
